GRE and Crow Wing entered into a long-term contract in 2004, whereby GRE agreed to purchase electricity from Crow Wing for 12 years. Crow Wing has asserted three counts against GRE: in count I, they seek declaratory judgment that the 2009 rate formula amendment to their contract is invalid; count II alleges breach related to closing GRE’s Stanton facility in 2016; count III alleges unjust enrichment as well as equitable claims of estoppel and unjust enrichment.

Crow Wing asserts that the district court committed two errors of law: first by misinterpreting GRE’s contract terms as giving them unilateral power to amend its rate formula unilaterally; and second by finding its language is open to multiple interpretations – de novo review should apply in such instances.
